1. Agreement to Terms

By purchasing or using Agent Harbor services, you agree to these terms. If you do not agree, do not use our services.

2. Services Provided

Agent Harbor LLC provides AI agent design, deployment, and managed operations services as described on our pricing page. Specific deliverables are defined in the onboarding process for each client.

3. Subscription and Billing

• Subscriptions are billed monthly or annually as selected at signup
• Annual plans are commitment-period plans — billed upfront or as agreed
• Month-to-month plans renew automatically until cancelled
• Cancel before your renewal date with no further obligation
• Setup fees are non-refundable once work has commenced

4. 30-Day Money-Back Guarantee

If your deployed agent is not performing within 30 days and Agent Harbor has been unable to resolve the issue, we will refund your first month's subscription payment. Setup fees are excluded from this guarantee.

5. Your Responsibilities

• You are responsible for maintaining valid API credentials with your chosen AI provider
• You agree to use Agent Harbor services for lawful business purposes only
• You agree not to use agents to send spam, harass individuals, or violate applicable law
• You are responsible for ensuring your use of Agent Harbor complies with regulations applicable to your industry

6. Limitation of Liability

To the maximum extent permitted by applicable law, Agent Harbor LLC's total liability to you for any claim arising out of or related to these terms or our services shall not exceed the total fees paid by you to Agent Harbor in the twelve (12) months preceding the claim.

Agent Harbor LLC is not liable for indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, lost revenue, loss of data, or business interruption, even if advised of the possibility of such damages.

7. Disclaimer of Warranties

Agent Harbor services are provided "as is" and "as available." We make no warranties, express or implied, regarding fitness for a particular purpose, merchantability, or uninterrupted service. AI systems can make mistakes — Agent Harbor's governance framework is designed to minimize errors, but we do not guarantee error-free operation.

8. Intellectual Property

Agent Harbor retains ownership of its deployment methodologies, agent architectures, and proprietary systems. You retain ownership of your business data, content, and any materials you provide. Nothing in these terms transfers IP rights in either direction.

9. Confidentiality

Both parties agree to keep the other's confidential business information private. Agent Harbor will not disclose client operational details, data, or deployment configurations to third parties except as required by law.

10. Governing Law and Disputes

These terms are governed by the laws of Washington State, USA. Any disputes shall be resolved in the courts of Kitsap County, Washington, or through binding arbitration as mutually agreed.

11. Changes to Terms

Agent Harbor may update these terms. Active clients will be notified by email of material changes at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.
